Member Terms of Service Agreement

This Member Terms of Service Agreement (the “Agreement”) is entered into between 3D Energy LLC, a limited liability company based in Scottsdale, Arizona, in Maricopa County (referred to as “3D Energy,” “we,” “us,” or “our”) and you (referred to as “you,” “your,” or “Member”) as a member of 3D Energy’s program (the “Program”).

By joining and participating in the Program, you acknowledge and agree to be bound by the terms and conditions set forth in this Agreement. Please read this Agreement carefully before joining the Program. If you do not agree with any provision of this Agreement, you may not become a member of the Program.

Membership Fee

1.1 Upon joining the Program, you are required to pay a one-time non-refundable membership fee (the “Membership Fee”). The Membership Fee is intended to cover the costs associated with managing the members over the next 24-36 months until the next phase of membership.

1.2 The Membership Fee includes costs related to legal fees, administration, and communications with real-time updates. By paying the Membership Fee, you reserve your spot in the opportunity provided by the Program.

Membership Benefits

2.1 As a member of the Program, you will be entitled to certain benefits, which may include access to exclusive resources, educational materials, networking opportunities, and other services offered by 3D Energy.

2.2 3D Energy reserves the right to modify or update the membership benefits at any time, with or without prior notice, at its sole discretion.

Term and Termination

3.1 This Agreement shall commence upon your acceptance of these terms and conditions and payment of the Membership Fee.

3.2 The membership shall remain in effect for the period of 24-36 months from the date of joining (the “Membership Term”), unless terminated earlier in accordance with the provisions of this Agreement.

3.3 Either party may terminate this Agreement with immediate effect in the event of a material breach of any provision of this Agreement by the other party.

3.4 Upon termination of this Agreement, you will no longer be entitled to the benefits and services provided by the Program.

Confidentiality

4.1 As a member of the Program, you may have access to confidential and proprietary information of 3D Energy, including but not limited to trade secrets, business strategies, financial information, and customer data.

4.2 You agree to keep all such information confidential and not disclose or use it for any purpose other than participating in the Program. This obligation of confidentiality shall survive the termination of this Agreement.

Intellectual Property

5.1 All intellectual property rights, including but not limited to trademarks, copyrights, and patents, related to the Program and its materials shall remain the property of 3D Energy or its licensors.

5.2 You agree not to reproduce, distribute, or modify any intellectual property belonging to 3D Energy without prior written consent.

Limitation of Liability

6.1 To the maximum extent permitted by law, 3D Energy shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your participation in the Program.

6.2 In no event shall 3D Energy’s total liability to you for any claim arising out of or related to this Agreement exceed the total amount of the Membership Fee paid by you.

Governing Law and Jurisdiction

7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.

7.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

Entire Agreement

8.1 This Agreement constitutes the entire agreement between you and 3D Energy regarding your membership in the Program and supersedes any prior agreements or understandings, whether written or oral.

By joining the Program and paying the Membership Fee, you acknowledge that you have read, understood, and agree to be bound by this Member Terms of Service Agreement.
